Business Law
Legal terminology for Business and Corporate Law.
Relevant corporate documents (Ex: Bylaws, MoU, etc.).
Corporate changes (M&As, Spin-offs, etc.)
Case study to practice newly-acquired vocabulary.
Essential language for drafting e-mails and legal opinions.
Contract Law
Introduction to the legal language used in typical contracts and opinions. Confusing words.
Practical activity: decoding legalese and updating the language to the 21st century.
Civil and common law: main differences and equivalences.
Typical structure of the most common legal documents and common clauses.
Practical activity: referencing legal documents in emails, status updates.
Grammar review: most common modal verbs in contracts (May, Shall, Must, Will). Brush-up on verb tenses.
Contractual concepts in Common Law (Reps & Warranties, Covenants, Discretionary Authority, Conditions, Declarations).
Remedies for breach of contract: damages vs. equitable relief.
Liquidated penalties vs. penalty clause.
Indemnity vs Damages.
Practical Activity: Using plain English to draft a liquidated damages clause.
Tax Law
Brief introduction to the US taxation system (especially the difference in tax collection mechanisms between Brazil and the USA)
Relevant tax-related terms and how to use them in context (Ex: glosa, crédito tributário x crédito fiscal, regularização, parcelamentos, etc).
Writing a clear and concise opinion.
Useful words and phrases to use in legal opinions
Ways to improve legal writing (reducing nominalization, eliminating verbosity, etc.).
